1. Who the agreement is with
Bizman is supplied by Bizmantools (Pty) Ltd, a South African private company, registration 2017/059388/07. Our Business information page identifies the provider, and Contact us lists the support and privacy channels. These terms, the subscription details shown before payment, and our Refunds and cancellation and Digital delivery policies govern a paid Bizman subscription. A separately signed agreement takes precedence only for the matters it expressly changes. The Privacy policy explains our handling of personal information.
In these terms and the linked subscription policies, Bizman means the browser-based web application available through https://bizmancloud.com. These policies do not govern or amend agreements for separately supplied desktop software, other applications or other services from Bizmantools (Pty) Ltd. Those products and services remain subject to their own agreements unless the relevant parties expressly agree otherwise in writing.
Bizman is intended for business users aged 18 or older. If you subscribe for an organisation, you confirm that you have authority to bind it and authorise its payments. Creating an account does not itself authorise a card charge. The organisation owner must expressly accept the subscription terms and payment mandate before checkout. Supplier publishing requires separate approval; a fabricator subscription does not grant publishing rights.
Mandatory rights under South African law, including the Consumer Protection Act (CPA), the Electronic Communications and Transactions Act (ECTA) and the Protection of Personal Information Act (POPIA), take precedence. Business use does not automatically exclude consumer protection. No term requires you to waive a right that cannot lawfully be waived.
2. The service and your licence
Bizman is browser-based software for fenestration businesses. It provides customer and project records, quotations, drawings, kits, material costing, cutting plans and purchasing workflows. We supply software access, not physical windows, materials, installation, engineering certification, or a guarantee of business results. Supplier catalogue access depends on the publisher's authorisation and the relevant package terms.
During your authorised access period, we grant your organisation a limited, non-exclusive, non-transferable right to use the available service for its own lawful business. We retain ownership of Bizman's software, branding and documentation. Suppliers and other licensors retain ownership of their content. You may use authorised outputs in your business, but may not resell the software or redistribute supplier catalogues or proprietary kit definitions without permission.
3. Monthly billing and card payments
Published access-unit prices appear on the Pricing page in South African rand (ZAR), with the VAT-inclusive amount shown. Where pricing is marked TBA (to be announced), a public price has not yet been confirmed. Your organisation's applicable price, total and service period are shown for review before payment. There is no delivery charge or separate card surcharge. The first month is prorated by calendar days in Johannesburg, including the day access starts, to the start of the next month. Thereafter the subscription renews monthly on the first day of the month, using Johannesburg time, until renewal is stopped.
Each member and active pending invitation reserves one access unit. A member gets one simultaneous session; an additional simultaneous session requires an extra unit assigned to that member. Removing a member does not automatically reduce the subscription quantity. The owner must change the quantity in Billing. Increases activate after payment for only the additional units, prorated over the remaining Johannesburg calendar days including the day of the increase; the full new quantity is billed at renewal. Reductions apply only at renewal, without a refund or credit for the paid period, and require the organisation's allocations to fit the smaller quantity. New allocations must also fit a scheduled reduction; the owner can restore already-paid units before renewal without another payment.
Peach Payments processes card payments. You authorise the initial charge and storage of a payment token for future monthly charges at the agreed price and quantity. We store an encrypted token and masked card details, not your full card number or CVV. Cardholder authentication is handled through the payment provider where required; later authorised recurring debits may occur without a new authentication prompt.
You can review and correct the quantity before opening checkout, and abandon checkout before confirming payment. If a payment result is unclear, check Billing or contact us before trying again. A failed payment may restrict access after the applicable grace period. We do not treat an uncertain payment as permission to send a duplicate debit.
Recovering a failed renewal during that invoice's original billing period requires its original full amount, without a reconnection fee. Returning paid customers pay the full licence fee for the month they return, without prorata pricing. After a whole unpaid billing period, they also pay a one-off reconnection fee equal to one full month at the organisation's last successfully paid access-unit quantity and unit rate. Prorata applies to first-time activation and additional access units in an active paid period. Reducing a new subscription's quantity does not reduce the reconnection fee. The fee is shown separately before payment and on the invoice; it is not an automatic debit or a charge for every missed month. An authorised Admin may waive it for a documented reason. It applies only after at least 30 days have elapsed from delivery of the policy notice to the organisation owner.
The owner can stop renewal in Billing before the next billing date. Access continues until the paid period ends. Our Refunds and cancellation policy explains unused periods, billing errors and statutory remedies. A refund request and cancellation are separate actions; tell us if you want both.
We will give at least 30 calendar days' notice of a proposed price increase or material subscription change and an opportunity to cancel before it takes effect. We will obtain any fresh payment authorisation required by law or payment rules. Changes do not alter amounts or terms already agreed for a paid period. Billing records are available in the account while accessible; you may request transaction records through our published support contact for at least five years after the transaction.
4. Data accuracy and checking outputs — please read
We use reasonable efforts to keep Bizman's data and calculations correct, but do not warrant that catalogue data, imported information, drawings, quotations, cutting lists, purchase orders, prices, quantities or other outputs are accurate, complete, current or suitable for a particular job. Errors may arise in information entered by you, supplied by others, or generated by the software. Every output must be independently checked before it is relied on.
You remain responsible for your commercial and fabrication decisions. Check dimensions, material specifications and availability, quantities, cutting allowances, prices, taxes, totals and supplier requirements before sending a quote, committing to an order, cutting material, manufacturing or installing. Keep appropriate checks and approvals within your business; do not use unchecked output as an instruction to manufacture or buy. Incorrect output can cause underquoting, wasted material, incorrect purchases, rework, delay, financial loss or unsafe fabrication. Use appropriately qualified professionals where required. The software is not an engineering certification or a substitute for site measurements or professional judgement.
Our responsibility for losses arising from incorrect data and outputs is excluded or limited as set out in section 7. These provisions do not excuse duties or liability that cannot lawfully be excluded.
Keep account details accurate, protect credentials, use individual accounts and manage members and permissions. Notify us promptly of suspected unauthorised access. Do not bypass access limits, interfere with security, scrape restricted content, introduce malicious code, infringe another person's rights or use the service unlawfully. Any restriction on reverse engineering applies only to the extent permitted by law.
5. Your content and confidential information
You retain your rights in the content you upload. You grant us only the rights needed to host, process, back up, transmit and display that content to deliver and support the service and carry out your authorised instructions. You must have a lawful basis to provide other people's information and must give them the notices required by law. Do not upload unnecessary sensitive personal information or children's information.
Where we process personal information solely on your organisation's instructions, your organisation is the responsible party and we act as its operator. We will process it only for the authorised service or as required by law, restrict access to authorised persons under confidentiality duties, maintain reasonable security safeguards, and notify the organisation without undue delay if we have reasonable grounds to believe its personal information has been accessed or acquired by an unauthorised person. Service providers acting as our operators must be bound by appropriate written confidentiality and security obligations.
We use limited supplier-related quotation information to produce aggregate demand summaries as explained in the Privacy policy. This does not give suppliers access to your customer records, quotation documents or selling prices. We otherwise protect non-public business information and disclose it only to authorised users, service providers who need it, or where legally required.
Keep copies of records you need outside Bizman using the available reports and exports. After paid or demo access ends, Fabricator workspace data is retained for 90 days with normal work restricted. A final warning is sent at day 60. Owners can return and pay through Licensing & billing throughout all 90 days, including the final 30 days, without Admin-assisted recovery. Permanent deletion occurs at the retention deadline and no earlier than 30 days after delivery of the final warning, unless a documented retention hold or extension applies. An Admin may extend an individual organisation's deadline; normal checkout and reconnection pricing remain available during that extension. Sign-ins, failed payments and abandoned checkouts do not restart retention. Required financial and security evidence, other people's rights and immutable supplier releases are handled separately. The Privacy policy explains retention.
6. Availability and service remedies
We will exercise reasonable care and skill in supplying Bizman. We do not promise uninterrupted access, error-free third-party content, compatibility with every device, or a particular financial outcome. Maintenance, network failures and events outside our reasonable control may affect availability. We will take reasonable steps to limit disruption and address faults. A service-level guarantee applies only if expressly agreed in writing.
Tell us about a service failure so we can investigate. Where the CPA applies, your rights to timely, good-quality service and to require a defect to be remedied or a reasonable refund are preserved. Our Refunds and cancellation policy applies to non-delivery and other refund requests.
7. Limits on liability — please read
To the fullest extent permitted by law and subject to the exceptions below, Bizmantools (Pty) Ltd is not responsible for financial losses arising from incorrect, incomplete or outdated data or from errors in quotations, cutting lists, purchase orders, drawings, calculations or other Bizman outputs, including underpricing, over-ordering or under-ordering, wasted material, recutting, remanufacture, rework, delays and lost profit. This exclusion applies to direct and indirect financial loss, whether the relevant error originates with a user, a supplier or the software. You must verify outputs before committing your business to costs or production. The exclusion applies only where lawful and fair in the circumstances; it cannot remove mandatory consumer remedies or the exceptions below.
To the extent lawful and fair, Bizman's total liability arising from the service or this agreement is limited to the subscription fees paid or payable by your organisation for the 3 months immediately before the event giving rise to the claim. To the same extent, we exclude indirect or consequential losses, including consequential loss of profit, revenue, business opportunity or anticipated savings. The limit applies in aggregate to related claims, whether in contract, delict or otherwise.
These exclusions and limits do not apply to fraud, wilful misconduct, gross negligence, death or personal injury caused by negligence, or any liability or remedy that the law does not permit us to exclude or limit, including applicable consumer refunds, payment-security duties and data-protection rights. They do not remove our obligation to provide a service with the care and quality required by law.
8. Claims caused by unlawful use
To the extent lawful and fair, your organisation must reimburse reasonable, proven amounts awarded to a third party, or agreed in a settlement you approve, to the extent directly caused by your knowing infringement of that party's intellectual-property rights through uploaded content or your intentional unlawful use of Bizman. This does not cover loss caused by our own breach, negligence or unlawful conduct. We must promptly notify you, take reasonable steps to mitigate loss and give you a reasonable opportunity to participate in the defence. You are not bound by a settlement made without your consent, which must not be unreasonably withheld.
9. Suspension, termination and changes
We may restrict access where reasonably necessary to address non-payment, a material breach, a credible security threat or a legal requirement. We will give notice and a reasonable opportunity to remedy a breach where practicable, and any longer notice or remedy period required by law. Urgent protective restrictions will be limited to what is reasonably necessary. We will not suspend access merely because you raise a good-faith complaint or exercise a statutory right.
We may discontinue the service on at least 30 calendar days' notice, or a longer period required by law. If we end a paid service for our convenience, or cannot supply it, we will refund the prepaid amount for the unused affected period. Other remedies required by law remain available.
We will notify the organisation of material changes to these terms at least 30 calendar days before they take effect and give it an opportunity to cancel. Urgent changes required by law or security may take effect sooner with notice explaining why. No change retrospectively removes accrued rights or rewrites a completed transaction. If a term is unenforceable, the remaining lawful terms continue to apply.
10. Questions, complaints and governing law
South African law governs these terms. Contact our published support email with your organisation name, transaction reference where relevant and the outcome you seek. We review complaints as promptly as reasonably practicable and will explain if further investigation is needed. An investigation does not extend a legal deadline or make a statutory right conditional on our approval.
You may use any competent court, regulator, ombud or dispute-resolution process available under applicable law, including the National Consumer Commission where it has jurisdiction and the Information Regulator for privacy complaints. You do not have to waive card-scheme dispute rights or agree to exclusive private arbitration. These terms can be printed or saved from this page; retain the version and payment confirmation for your records.
